Register a general partnership

A general partnership must be registered with The Register of Business Enterprises.
In order to register your company, you must submit the form Coordinated register notification.

When you are going to register a general partnership, you always need to attach
- partnership agreement
If the company is going to have a board and an auditor, you must also attach
- minutes from the general meeting showing the elections
If the company is going to have a board, the board members have to confirm that they take on the assignment by signing the form Coordinated register notification. Any auditor or accountant must do the same.
The partners have to make a partnership agreement to establish a general partnership. The partnership agreement must be dated and signed by all the partners.
The partnership agreement must include
- the business name
- name and place of residence for all the partners
- the company’s objective
- name of the municipality where the company is going to have it’s head office
- information about whether the partners are going to make contributions, and if so the value of the contributed assets
If you are going to establish a general partnership with shared liability, the partnership agreement also has to include information about how the liability is shared.

There are no requirements for capital contributions in connection with establishing a general partnership. If the partners make contributions, it must be stated in the partnership agreement. The value of these assets must be specified in the partnership agreement, if the contributions are made in assets other than cash.
