Articles of association of a limited company

The memorandum of association must include the articles of association.
Items the articles of association must contain
- the business name
- the objectives of the business
- the amount of the share capital
- the nominal value of the share
If the company’s objective does not intend to provide the shareholders with a financial dividend, the articles of association must contain provisions on how the company should distribute surplus and assets when the company is dissolved. If the company is to have several general managers, this must also be stated in the statutes.
